1. Purpose and scope

These Terms of Sale ("Terms of Sale") govern subscription to the paid plans of the AlerteRayon / ShelfAlert service (the "Service") by any business customer (the "Customer") from BIZDI ("BIZDI"), a simplified joint-stock company under French law (SAS) with a share capital of EUR 1,000, registered under number 913 919 452 RCS Nanterre, whose registered office is at 7 B avenue Pierre Grenier, 92100 Boulogne-Billancourt, France.

The Service is intended exclusively for businesses acting in the course of their trade (stores, retail chains, buying groups). Any subscription implies unreserved acceptance of these Terms of Sale, which prevail over any other document of the Customer, in particular its general purchasing conditions. Use of the Service is also subject to the Terms of Use.

2. Description of the Service

AlerteRayon (ShelfAlert internationally) is a web application (PWA) for reporting empty shelves. Individual users ("scouts") report products missing from the shelf using their phone. The subscribed Customer has access, for the store(s) covered by its subscription, to a dashboard gathering the reports received, together with analysis functions (analytics).

BIZDI guarantees neither a volume of reports nor the completeness or accuracy of reports, which are submitted by third parties independent of BIZDI. Reports are a decision-support tool and do not replace the Customer's own checks.

3. Free trial

Any first subscription entitles the Customer to a free trial period of 14 days, with no payment card required. At the end of the trial, access to the dashboard is suspended until the Customer takes out a paid subscription. The free trial is limited to one trial per Customer (same legal entity or same store).

The history depth available in the dashboard is 500 reports per store for the Essential plan, 5,000 for the Premium plan and unlimited for the Enterprise plan. Reports beyond this depth continue to be collected and stored: they become visible again when upgrading to a higher plan.

Prices are in euros and exclude VAT. VAT is applied at the rate in force on the invoice date. For customers established in another Member State of the European Union holding a valid EU VAT number, the reverse-charge mechanism applies (invoicing without VAT). For customers established outside the European Union, including the United Kingdom, invoices are issued without French VAT, and any tax due in the customer's country is the customer's responsibility. Validation and calculation are carried out through Stripe Tax.

BIZDI may change its prices. Any price change is notified to the Customer at least 30 days before it takes effect and applies only to subsequent billing periods. A Customer who refuses the new pricing may cancel the subscription before it takes effect.

5. Ordering and payment

Subscription is taken out online from the Service. Payment is monthly, by payment card, through the payment provider Stripe (Stripe Payments Europe Ltd). Payment card data is collected and processed exclusively by Stripe and never passes through BIZDI.

Payment is taken on the subscription date and then on each monthly due date. Invoices are made available to the Customer in its customer portal. In accordance with Articles L.441-10 and D.441-5 of the French Commercial Code, any late payment automatically incurs late-payment interest calculated at the interest rate applied by the European Central Bank to its most recent refinancing operation plus 10 percentage points, together with a fixed recovery fee of EUR 40.

6. Term and renewal

The subscription is entered into for a term of one month, tacitly renewed for successive one-month periods until cancelled by either party under the conditions of Article 7.

7. Cancellation

The Customer may cancel its subscription at any time, without giving reasons and free of charge, from its customer portal. Cancellation takes effect at the end of the current monthly period, which remains payable; no pro rata refund is made for the period already started.

BIZDI may cancel the subscription with 30 days' notice given by email, or without notice in the event of a serious breach by the Customer of these Terms of Sale or of the Terms of Use that is not remedied within 15 days of a formal notice.

On cancellation, access to the dashboard is closed. The Customer's data is kept for 90 days and can be returned on request in a standard format, before deletion or anonymisation.

8. No right of withdrawal

As the Service is reserved for businesses acting in the course of their trade, the 14-day right of withdrawal provided for by Articles L.221-18 et seq. of the French Consumer Code does not apply, subject to the special cases provided for in Article L.221-3 of the same Code. In any event, the 14-day free trial with no payment card allows the Customer to evaluate the Service before any payment.

9. Suspension for non-payment

If a payment failure is not remedied within 7 days of notification, BIZDI may suspend the Customer's access to the dashboard until the situation is remedied. During the suspension:

  • scouts' reports concerning the Customer's stores continue to be collected normally;
  • the Customer's data and those reports are kept and become accessible again as soon as the situation is remedied;
  • the subscription remains payable for the periods that have elapsed.

If the situation is not remedied within 60 days, BIZDI may cancel the subscription under the conditions of Article 7.

10. Availability of the Service

BIZDI uses reasonable means to ensure the availability and proper operation of the Service ("best effort"), without any service level commitment (SLA) or availability guarantee. Interruptions may occur, in particular for maintenance, updates, or because of failures of third-party networks or hosting providers. Where possible, planned maintenance is announced in advance.

11. Liability

BIZDI is bound by an obligation of means. BIZDI cannot be held liable for indirect damage suffered by the Customer (loss of revenue, loss of customers, loss of data not attributable to BIZDI, damage to reputation), nor for decisions taken by the Customer on the basis of the reports and analyses provided by the Service.

In any event, BIZDI's total aggregate liability in respect of the Service is limited, for all damage combined, to the total amount actually paid by the Customer for the subscription during the 12 months preceding the event giving rise to the claim.

These limitations do not apply in the event of gross negligence or wilful misconduct, nor to personal injury, nor where the law prohibits them.

12. Support

Support is available by email at support@alerterayon.fr, Monday to Friday, excluding French public holidays. BIZDI endeavours to respond within a reasonable time, without any commitment as to resolution time.

13. Personal data

The processing of personal data related to the Service is described in the Privacy Policy. When the Customer accesses reports as part of the Service, it undertakes to use the corresponding data only for the purposes set out herein and to comply with the applicable regulations.

14. Changes to the Terms of Sale

BIZDI may amend these Terms of Sale. Any amendment is notified to the Customer by email or through the Service at least 30 days before it takes effect. A Customer who does not accept the new Terms of Sale may cancel its subscription before they take effect; failing that, continued use of the Service after that date constitutes acceptance.

15. Miscellaneous

If any provision of these Terms of Sale is held to be void or unenforceable, the other provisions remain in force. BIZDI's failure to rely on a breach by the Customer does not constitute a waiver of its right to rely on it later. The Customer authorises BIZDI to cite its name and logo as a commercial reference, unless it objects in writing.

16. Governing law and jurisdiction

These Terms of Sale are governed by French law. Failing an amicable resolution within 30 days of written notification of a dispute, any dispute relating to their validity, interpretation or performance falls within the exclusive jurisdiction of the Tribunal des activités économiques de Nanterre (Nanterre Economic Activities Court, France), notwithstanding multiple defendants or third-party claims.
